GP-14.1 Ownership Linkage Committee Policy

The Ownership Linkage Committee will assist the board in fulfilling its responsibilities regarding connection with the Owners

Committee Products:

1. The Committee products support the Board’s work; they do not decide for the Board unless explicitly stated below.
   1. A current ownership linkage plan that enables constructive Board dialogue with owners related to Ends issues.
      1. Annually, an updated ownership linkage plan, inclusive of input from the Board.
      2. Annually for the July Board Retreat, an assessment of the implementation and effectiveness of the ownership linkage plan for consideration by the Board.
      3. Annually for the July Board Retreat an organized written presentation of information collected from groups within the ownership, in a format useful to the Board for Ends deliberations.
   2. For the consideration of the Board, a proposed ownership linkage plan inclusive of any substantive revisions to the current plan.

Committee Authority:

1. The Committee’s authority enables it to assist the Board in its work, while not interfering with Board holism.
   1. The Committee cannot change or contravene Board policies or instruct the President or any other staff member.
   2. Requests for information or administrative support necessary to conduct the Committee's duties shall be coordinated with the President.
   3. The Committee may not spend or commit organization funds, other than those specifically allocated by the Board.
   4. The Committee may use staff resource time consistent with the President’s interpretation of a reasonable amount for administrative support around meetings and the Board’s ownership linkage plan.
   5. The Committee Chair has the authority to make any reasonable interpretation of this policy.

Committee Composition and Tenure:

1. The Committee’s composition shall enable it to function effectively and efficiently.
   1. The Committee shall be composed of a minimum of two Trustees, but no more than three Trustees.
   2. The Committee shall select a Chair from among its Trustee members.
   3. Members shall be appointed annually at the first meeting of Board cycle.
